دور مجلس الدولة المصري في إدارة الشركات المساهمة "دراسة مقارنـة"

تناولت الدارسة مسألة قانونية هامة، وشديدة التعقيد من الناحية القانونية وهي دور القضاء الإداري، في تحقيق الرقابة علي إدارة الشركات، من خلال مدي إختصاص القاضي الأداري في ضوء مبدئي المشروعة والملائمة، قوام عمل القضاء الإداري لكونه قضاء مشروعية علي وسائل وطرق الرقابة القانونية علي أعمال مجالس إدارة الشركات، من خلال تدخل الجهات الإدارية ذات الأختصاص في رقابة أعمال مجلس إدارة الشركة. وذلك من خلال بيان تشكيل مجلس إدارة الشركة، وآلية عمله، والتنظيم القانوني للرقابة القانونية علي مجلس إدارة الشركات، وسبل تدخلها في إدارة الشركات، منعا من سوء إستخدام السلطات والصلاحيات المقررة لمجلس إدارة الشركة، وعدم التعسف في إدارة الشركة، ودور القاضي الإداري في تحقيق تلك الرقابة القانونية، لما لها من تأثير هام في الجانب الإقتصادي لحمايته من الإنحراف والتعسف في إدارة الشركات، بما يضر بمصلحة الاقتصاد القائم علي نظرية الشركات، سواء كانت شركات عامة أو شركات خاصة.
