ظهرت مشكلات انتقال ملكية المشروع عند انقضاء الرابطة العقدية بانتهاء مدة العقود المبرمة بأحد صور B.O.T في الكويت ومحاولة المستثمر التأخر في تسليم المشروع. لجأت الدولة إلى الانتقال لنظام PPP كشراكة بين القطاعين العام والخاص، ليكون حق استغلال المشروع خلال مدة تنفيذ العقد للسلطة المتعاقدة مع المستثمر. يجب على المستثمر عند انقضاء الرابطة العقدية مع الدولة بانتهاء مدة العقد إرجاع وإعادة المشروع كامل وبرمته للسلطة المتعاقدة ويكون صالح للاستعمال ويحقق نتائج عملية وفي حالة جيدة تصلح للانتفاع به. خلصت الدراسة إلى أن الدولة من شانها تفادي الوقوع في مشكلات التسليم بأن تضع بندا في عقود البوت B.O. T يقضي بضرورة موافقتها على تعاقدات شركة المشروع مع الغير. إذا تضمن عقد PPP مدة محددة يجب أن تكون هذه المدة طويلة تسمح للمستثمر سداد ديونه وتحصيل هامش ربح معقول. أوصت الدراسة المستثمر ضرورة الالتزام بعنصر (التسليم) بدون مقابل وفى حالة جيدة بعد انتهاء العقد سواء. على المستثمر عدم الخلط بين مبادئ الخصخصة التي تقتضي عدم نقل ملكية المشروع وبين سمات التعاقد الإداري التي يعد التسليم بعد انقضاء الرابطة العقدية عنصر أساسيا فيها.
